AGREEMENT BETWEEN USER AND INFINITY CIRCUIT ENGINEERING ("ICE")

Welcome to www.thepanel.tech (the "Site"). The Site is operated by Infinity Circuit Engineering ("ICE"). Your use of www.thepanel.tech is conditioned upon your strict acceptance of the terms and conditions set forth in this Agreement (the "Terms"). By accessing, registering for, or using the Site, you agree to be bound by these Terms.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT LIMITATIONS ON YOUR LEGAL RIGHTS, INCLUDING MANDATORY ARBITRATION, WAIVER OF CLASS ACTIONS, AND STRICT LIMITS ON OUR LIABILITY.
1.1 Eligibility: By using the Site, you represent that you are at least eighteen (18) years of age and have the legal capacity to form a binding contract. If you are using the Site on behalf of a company or entity, you represent that you have the authority to bind that entity to these Terms.
1.2 Nature of Service: www.thepanel.tech is a cloud-based Inventory Management Service. ICE serves only as a software provider. ICE is not an accounting firm, financial advisor, or legal counsel. You are solely responsible for your own compliance with tax laws, inventory audits, and business regulations.
2.1 Scope of Access (Modules): Payment of fees grants you a limited, non-exclusive license to access only the specific software modules, features, and storage limits corresponding to your purchased package. ICE reserves the right to gate, restrict, or modify access to specific modules based on the license tier held.
2.2 Subscription License: Recurring subscriptions renew automatically. You must cancel at least 24 hours before the renewal date to avoid charges. Payments are non-refundable.
2.3 Lifetime License: A "Lifetime License" grants access for the "Lifetime of the Product," defined as the period during which ICE continues to operate the Service. It does not refer to the user's lifetime. ICE reserves the right to sunset the Service with reasonable notice.
2.4 NON-TRANSFERABLE LICENSE: Your license to use the Service is personal to you (or your specific business entity). You may not sell, assign, transfer, sublicense, lease, or otherwise convey your account or license to any third party without the prior written consent of ICE. Any attempted transfer in violation of this section shall be void and may result in immediate termination of your account.
3.1 Payment Authorization: By providing a payment method, you authorize ICE to charge all fees incurred. You are responsible for ensuring your payment information is current.
3.2 Failed Payments & Collections: In the event that any check, credit card charge, or online payment is denied, returned, or refused ("Chargeback"), you agree to pay ICE the principal amount plus any applicable interest, bank fees, and all reasonable costs of collection, including reasonable attorney fees and expenses.
4.1 Security Protocols: To protect the integrity of the System and User data from unauthorized access, brute-force attacks, and bot activity, ICE implements strict security protocols.
4.2 AUTOMATIC IP BANNING: If a user or device fails to log in successfully after five (5) consecutive attempts, the IP address associated with that connection will be automatically banned ("IP Ban") from accessing the Site.
4.3 Whitelisting Procedure: Once an IP Ban is triggered, no user will be able to sign in from that network location. To lift an IP Ban, the account holder must explicitly contact ICE support via telephone. ICE reserves the right to request strict identity verification before whitelisting an IP address. This measure is non-negotiable and is designed to protect your data.
4.4 Credential Responsibility: You are responsible for maintaining the confidentiality of your password. ICE is not responsible for any loss resulting from compromised credentials.
5.1 Data Ownership: You retain rights to your raw data. You grant ICE a license to process this data to provide the Service.
5.2 NOT A BACKUP SERVICE: You acknowledge that the Site is not a backup service. You are solely responsible for maintaining independent backups of all data entered into the Site.
5.3 ABSOLUTE DISCLAIMER OF DATA LIABILITY: ICE shall not be liable for any loss, corruption, or destruction of data, regardless of the cause. This exclusion applies explicitly to data loss caused by:

The Site and Services are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind.
ICE expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ICE does not guarantee that the service will be uninterrupted, error-free, secure, or free of viruses.
8.1 Monetary Cap: In any event, ICE’s aggregate liability to you for any damages arising from or related to this Agreement (under any legal theory) shall not exceed the greater of: (a) the amount paid by you to ICE in the three (3) months prior to the event giving rise to the claim; or (b) $100 USD.
8.2 Exclusion of Damages: In no event will ICE be liable for any indirect, special, incidental, punitive, or consequential damages, including loss of profits, loss of data, or business interruption.
8.3 One Year Statute of Limitations: Any claim or cause of action arising out of or related to use of the Site or these Terms must be filed within one (1) year after the cause of action arose, or be forever barred.
You agree to defend, indemnify, and hold ICE harmless from any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Site, or your violation of these Terms.
10.1 Informal Dispute Resolution (Prerequisite): Before filing any claim against ICE, you agree to try to resolve the dispute informally by contacting support@thepanel.tech (or our designated support email). We will attempt to resolve the dispute via email or telephone. Engaging in this informal process is a mandatory condition precedent to commencing any formal arbitration or legal proceeding.
10.2 Binding Arbitration (US Users): Any dispute not resolved informally shall be resolved by binding arbitration in Florida, USA, administered by the American Arbitration Association (AAA). You agree to waive your right to a trial by jury.
10.3 Class Action Waiver: You agree that any claim you may have against ICE must be brought individually and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
10.4 Canada Users: If you are a resident of Canada, you agree that any dispute shall be resolved by the courts of the province in which you reside, if required by applicable consumer protection law; otherwise, the laws of Florida apply.
ICE reserves the right to terminate your access immediately, without notice, for any violation of these Terms, including but not limited to the "Prohibited Conduct" listed in Section 6. Upon termination, your right to use the Service will immediately cease.
